CONDITIONS OF SALE In these condi t ions a l l re feren ces to “the Company “ sha l l be construed as mean ing P a cka ge Con trol (UK) Limited and the express ion “the Cus tomer” sha l l be cons t rued as mean in g the p a rt y w ith whom the Comp any i s contra cted for the s ale o f goods . 1. Appl icabi li ty Unless othe rwise express ly a greed by the Company in wr i t ing, these Condi t ions sha l l appl y to a l l contr acts for the sale of goods e ntered into by the Compan y w ith the Cus tome r. An y attempt by the Cu s tomer to var y these Condit ions or to subst itute a lte rnat ive condit ions whether in wr it - in g or othe rwi se sha l l be o f no e f f e ct . 2. Orders (1) Any ord ers re cei ved by the Company i n pursuance o f a quotat ion or o therwise and whethe r made o ra l l y or in wri t in g sh a l l be d eemed to be an o f fe r to contra ct and no b inding and va l id cont ra ct shal l be ef fec ted un les s and unt i l the Compan y a ccepts the Cus tomer ’s o f fer. (2) Any ad vi ce or re commendat ion gi ven b y the Company or its employees or a gents to the Cus tome r or its employee s or agents as to the s tor age , app l i cat ion o r u se of the goods whi ch i s not conf i rmed in w ri t in g by the Comp any i s fol lowed or a cted upon en t irel y a t the Cus tome r’s own r i sk and, accord in g l y, the Compan y sha l l not be l iabl e for any such adv ice o r re commenda t ion whi ch is not so con fi rmed. (3) Any typog raphi ca l , cler i ca l or other er ror or omi s ion in any sale s l i tera ture , quot at ion, p r i ce l is t , a cceptan ce o f of fer , invoi ce or o ther document or informa t ion issued b y the Compan y sh a l l be sub ject to corr ect ion wi thout an y l iab i l i ty on the p art o f the Compan y. (4) I f the goods are to be manuf a ctured o r any p rocess is to be appl i ed to the goods by the Company i n a ccord ance w ith a request submit ted or gi ven b y the Customer the Custome r sha l l i ndemni f y the Compan y a ga ins t a l l los s , damages , cos ts and expens es awar ded aga ins t or in curre d b y the in conne ct ion with or p a id or ag reed to be p a id b y the Compan y in se t t lement o f any cla im fo r i n f r ingement o f any patent , cop yr ight , des ign or trademar k or other indus t r i a l or in tel le ctua l p ropert y rights wh i ch di re ct l y or i nd ire ct l y a r i ses from the Cus tomer ’s s a id reques t. 3. Pr ices (1 ) Sa ve whe re express l y s t ated a l l p ri ce s s tated a re ex clus i ve of Va lue Added Tax. (2) Where a p ri ce h as been quoted b y the Company to the Cus tome r th at sh al l be the p r ice p a yab le b u t othe rwise th e pri ce char ged sh a l l be the p r i ce ru l i n g a t the date o f despat ch o f the g oods. 4. Payment (1) The Cus tomer sha l l p ay for the goods on col lect ion o r del i ver y except whe re the Cus tomer h as p re viousl y been grante d cred i t f a ci l i t ies by the Compan y i n wr i t in g . The Cus tome r sha l l p a y the amount due under the cont ra ct to the Compan y not la ter than 30 da ys form the date o f the in voice from the Company (“the due d ate ”) . I f the Cus tome r fai ls to mak e an y p ayment on the due da te then , w ithou t p re judi ce to any othe r r ight o r remedy a va i l able to the Compan y, the Compan y sh a l l be ent i t led to : We reserve the right to alter specification without prior notice. 73 (1 .1) suspend any fur ther d el ive ries to the Cus tome r; or (1.2) char ge the Cus tome r interes t both before and a fter judgement on the amount unpaid a t the r ate of 4% per annum above Lloyds Bank PLC’s b ase r ate from t ime to t ime unt i l p aymen t i s made i n f u l l , a p art o f a mon th being t reated as a fu l l month for the purposes of ca l cu lat ing in te res t. 5. Da tes and Times Any da tes quoted for de l i ve ry and a va i lab i l i t y of goods are e s t imated onl y and shal l not form p a rt of the contr ac t u n less express ly s tated. Unless otherwi se agr eed in w ri t in g t ime sha l l not be o f the e s sen ce. 6. Force Majeur e The Compan y sha l l be under no l iabi l it y i f it is unab le to ca rr y out any order ( in clud ing d e l a ys in d e l i ver y and the pos tponement or cance l l at ion of any ar rangements ) for an y re ason beyond i t s control i n clu din g , wi thout prejudi ce to the gener al i t y of the fo regoin g , i l lnes s or i n capaci t y, Act of God, f i re, in clemen t or ex cept ion al weathe r cond i t ion s , of f i cia l or un of f i - ci a l i ndus tr ia l ac t ion, hos t i l i t ie s , sh ort age o f l abour , mate ria ls , powe r or other supplies , me chani ca l b reakdown , governmenta l orde r o r inter vent ion or any o ther cause whatsoe ver be yond the Comp any ’s control o r of an unexpected n ature . 7. Titl e to Goods (1) Ownersh ip o f and p ropert y in any goods supplied b y the Compan y sh al l no t p ass to the Customer u n ti l p ayment in ful l ( in c lea red funds) for a l l goods due from the Cus tomer h a s been re cei ved by the Company. R is k sha l l however pass to the Cus tomer immed iat el y on de l i ve ry o r col le ct ion (as appli cabl e ) . (2) Unt i l such t ime a s the p ropert y in the goods pas ses to th e Custome r the Custome r sha l l hold the goods as the Compan y’s f idu cia r y a gent and ba i l ee and sha l l keep the goods separate f rom those o f the Cus tome r and an y th ird par t ie s and properly s tored, prote cted and insured and ident i f ied as the Compan y’s p rope rt y. I f the Cus tome r incorpora tes the goods into any o ther p roduct s (b y the addi t ion of i ts goods or thos e of any thi rd p art y) or the goods ar e a t ta ched to any othe r i tems of propert y or mod i f ied i n any wa y be fore the propert y in the s ame has passed t o the Customer the p rope rt y in a ny su ch ama lg ama ted p rodu ct or i n any such add i t ion or mod i f i cat ion (“Modi f i e d Goods ”) sha l l be and remain w ith the Compan y unt i l the p roper ty in the goods h ave passed and a l l of the Compan y’s ri ghts unde r these condi t ions in re la t ion to the goods sha l l extend to an y ama lg amat ed p rodu ct and/or to the addi - t ions or modi f i cat ions . Unt i l such t ime a s the p roper ty in the goods pas ses to the Cus tome r and whethe r or not the goods ha ve been a t t ached to any other p rodu ct o r items , modi f ied or added to the se l le r s hal l be en t it l ed at any t ime to requi re the Cus tome r to del iver up the goods or the Modi f ied Goods to the Company and i f the Cus tomer f ai ls to do so forthwi th, the Compan y s h al l ha ve the righ t to en t er upon an y p remis e s of the Cus tomer or any thi rd pa rt y whe re the Goods or Mod i f ied Goods ar e s tored and to repos s e s s the Goods and/or hold the Mod i f ied Goods as s ecur it y unt i l the outstanding mon ies are p a id. 8. Warrant y (1) Subje ct to the condi t ions set out below the Compan y warr ant s th a t the goods w i l l be fre e f rom defects in workmansh ip and mate ria ls at the t ime of del i ver y. (2) The above wa rran ty i s g i ven by the Comp any subje ct to the fo l lowin g cond i t ions: We reserve the right to alter specification without prior notice. 74 (2 .1) the Compan y sha l l b e under no l iabi l it y in respe ct of any defe ct i n the goods aris in g from any drawin g , design or reques t s ubmit te d b y the Cus tomer; (2 .2) the Compan y sh al l be unde r no l iab i l i t y in respe ct o f any defe ct a ri s in g from an y fa i r wear and tea r, wi l fu l damage , ne g l igen ce, abnorma l workin g cond i t ion s , fai lure to f ol low the Compan y’s instru ct ions or f rom a lte rat ions or rep air o f the goods w ithout the Compan y’s approva l ; (2 .3) the Compan y sh al l be unde r no l iab i l i t y under the above warr ant y or any other war rant y, condi t ion or guarant ee i f the tot al p ri ce p aid for the goods h as not been p aid b y the due da te for p ayment ; (2 .4) the above w arr ant y does not ex tend to p arts , ma teri als o r eq u ipment not manuf actured b y the Company. (3 ) Subject as p rovided in these condit ions and except where the goods a re sold under a consume r s ale as def ined b y the S ale of Goods A ct 1 9 7 9 (as re vised o r amended from t ime to t ime) a l l wa rran t ies , condit ions or o ther terms imp lied b y s tatute or common- law ar e ex cluded to the fu l les t ex tent permit ted b y l aw. (4 ) Any l iabi l i ty f or b rea ch of the war rant y ref erred to in condit ion 8 (1) above shal l be l imited to a refund of the price pa id for the goods , or to the repl acement of the goods at the Compan y’s opt ion . 9. Liabi l i ty (1) The l iabi l i ty o f the Compan y in an y case (sa ve in the case of death or person al injur y c aused b y the neg l i gence of the Compan y) sh a l l be l imited to the va lue of the goods shown on the Company ’s invoi ce . (2 ) The Compan y s ha l l ha ve no l iab i l it y wha tsoe ve r for los s or damage caused as a r esul t o f the Cus tomer f ai l i n g obse rve or fo l low the i n s t ruct ions , ad vi ce and w arnin gs for the u se o f goods issued b y the Compan y or the manu fa cture r or suppl i e r of the goods . (3 ) The Compan y s ha l l ha ve no l iab i l it y wha tsoe ve r for consequent i a l or i ndi rect los s . 10. Return o f Goods (1 ) Al l cl a ims i n respect of dama ge to goods or short ages mus t be made b y the Cus tome r to the Compan y with in thre e ( in respect o f s hort a ge s ) and ten ( in respect of dama ged or defe cti ve goods ) workin g d ays o f d el i ve r y o r col lec t ion whereupon the Compan y sha l l u se its reasonable endea vours to mee t an y val id cl a im as soon as reasonabl y p ra ct icable . (2) The Compan y w i l l not accept the return o f an y goods oth er than i n a ccord ance w ith sub-clause (1) ab ove ex cept whe r e the Cus tomer obt ains the p r ior consent of the Comp any to the mak ing of such return and where su ch goods are returned with in one month o f the ir supply b y the Compan y and re turned in good cond i t ion . I n such cases the Company ma y ( but s hal l not be ob l ig ed to) a ccep t re turns and wher e accepted s ha l l credi t the Cus tomer wi th 85% o f the in voi ce pri ce for such goods . 11. Apl icable Law Al l cont ra ct to whi ch these Condit ions ap p ly sha l l al l res pect be governed by and const rued in a ccordan ce with Engl ish L aw.
